{"id":243541,"date":"2022-06-02T15:44:02","date_gmt":"2022-06-02T12:44:02","guid":{"rendered":"https:\/\/investigator.org.ua\/?p=243541"},"modified":"2023-11-15T21:14:15","modified_gmt":"2023-11-15T19:14:15","slug":"yak-krimska-himiya-firtasha-vliva%d1%94t","status":"publish","type":"post","link":"https:\/\/investigator.org.ua\/en\/publication\/243541\/","title":{"rendered":"How Ukrainian chemical business of Firtash is absorbed by Rotenbergs, Putin\u2019s friends"},"content":{"rendered":"<p><\/p>\n<p><strong>Group DF of oligarch Dmytro Firtash informed about the sale of its Crimean assets JSC \u00abUkrainian Chemical Products\u00bb (before 2014 it was named \u00abCrimean Titanium\u00bb) on the last day of 2021. The sale was conducted non-transparently, with clear signs of violating the legislation as the Antimonopoly Committee of Ukraine did not issue the permit for concentration. The seller did not address the Committee for the permit, perhaps, in order to avoid the disclosure of the ownership structure of the buyer \u2013 unknown LLC \u00abRussian Titanium\u00bb. This deal allowed Mr. Firtash withdrawing his Crimean titanium factory, the largest manufacturer of titanium dioxide in Eastern Europe, from the Ukrainian jurisdiction. Since then, the Center for Journalist Investigations has monitored all participants of the deal as we foresaw that its real beneficiaries would sooner or later reveal themselves. Our patience was rewarded. It seems that Crimean assets of Mr. Firtash are being absorbed by the giant Russian chemical holding, presumably, controlled by Rotenberg brothers, \u00abbest friends\u00bb of Mr. Putin\u2026<\/strong><!--more--><\/p>\n<p>To start with, let us recall how Crimean titanium factory of Mr. Firtash was taken from Ukrainian to Russian jurisdiction and who were key participants of this process.<\/p>\n<p>The production of titanium dioxide and other related products at \u00abCrimean Titanium\u00bb fully depended upon the supply of ilmenite ore from ore deposits in Zhytomyr region of Ukraine. It was processed at Ukrainian state owned Irshansk Mining and Processing Plant.<\/p>\n<p>After Russian occupation of Crimea in 2014, the titanium factory did not stop its work. Ukrainian authorities secured the supply of the Ukrainian ore to the Firtash\u2019s factory in occupied Armiansk through the so-called \u00abilmenite scheme\u00bb. This dubious scheme also allowed for the functioning of Firtash\u2019s business under Russian and Ukrainian jurisdictions simultaneously.<\/p>\n<p>In Ukraine, the company changed its name from \u00abCrimean Titanium\u00bb to \u00abUkrainian Chemical Products\u00bb and its legal address \u2013 from Crimean Armiansk to Kyiv. The factory itself was registered as Armiansk branch of the Ukrainian joint stock company.<\/p>\n<p>100% of shares of the company <a href=\"https:\/\/smida.gov.ua\/db\/prof\/32785994\" target=\"_blank\" rel=\"noopener\">were owned<\/a> by OSTCHEM Germany GmbH whereas Dmytro Firtash has been its final beneficiary.<\/p>\n<p>In Russia (Moscow), LLC \u00abTitanium Investments\u00bb (Titanovye investitsii) was registered. Cyprus-based \u00abLetan Investments Limited\u00bb company was indicated as the founder of Moscow company. The Cypriot company was registered by Firtash\u2019s manager. At the very beginning \u00abUkrainian Chemical Products\u00bb declared that it rented its Crimean factory to Russian \u00abTitanium Investments\u00bb. However, later the factory was registered in the Russian business register as the \u00abArmiansk branch\u00bb of this Moscow clone of the Ukrainian company.<\/p>\n<p><img decoding=\"async\" loading=\"lazy\" class=\"alignnone  wp-image-243543\" src=\"https:\/\/investigator.org.ua\/wp-content\/uploads\/2022\/06\/\u0406\u043d\u0444\u043e\u0433\u0440\u0430\u0444\u0456\u043a\u0430-1-\u043d\u043e\u0432\u0430.png\" alt=\"\" width=\"720\" height=\"405\" srcset=\"https:\/\/investigator.org.ua\/wp-content\/uploads\/2022\/06\/\u0406\u043d\u0444\u043e\u0433\u0440\u0430\u0444\u0456\u043a\u0430-1-\u043d\u043e\u0432\u0430.png 1920w, https:\/\/investigator.org.ua\/wp-content\/uploads\/2022\/06\/\u0406\u043d\u0444\u043e\u0433\u0440\u0430\u0444\u0456\u043a\u0430-1-\u043d\u043e\u0432\u0430-300x169.png 300w, https:\/\/investigator.org.ua\/wp-content\/uploads\/2022\/06\/\u0406\u043d\u0444\u043e\u0433\u0440\u0430\u0444\u0456\u043a\u0430-1-\u043d\u043e\u0432\u0430-768x432.png 768w, https:\/\/investigator.org.ua\/wp-content\/uploads\/2022\/06\/\u0406\u043d\u0444\u043e\u0433\u0440\u0430\u0444\u0456\u043a\u0430-1-\u043d\u043e\u0432\u0430-1024x576.png 1024w\" sizes=\"(max-width: 720px) 100vw, 720px\" \/><\/p>\n<p>In order to avoid Western \u00abCrimean sanctions\u00bb banning sea supply of the ore to Crimea and Crimean export, Mr. Firtash used Ukrainian law about fake free economic zone \u00abCrimea\u00bb.<\/p>\n<p>Last summer this law was cancelled whereas the National Security and Defense Council of Ukraine imposed sanctions on Mr. Firtash and his company \u00abValky-Ilmenite\u00bb. As an outcome, the supply of the ilmenite ore was stopped and the Crimean factory did not work for two months. The production was renewed on September 1, 2021 but in a half a year the factory was closed one more time.<\/p>\n<p><strong>Mysterious \u00abRussian Titanium\u00bb<\/strong><\/p>\n<p>Group DF of Dmytro Firtash <a href=\"https:\/\/groupdf.com\/uk\/pres-tsentr\/novini\/titanovyy-biznes-group-df-prodavets-aktiviruyet-ukrainian-chemical-products-u-krimu\/\" target=\"_blank\" rel=\"noopener\">announced<\/a> the sale of Crimean assets of \u00abUkrainian Chemical Products\u00bb on December 31, 2021. All movable and immovable assets of the former factory \u00abCrimean Titanium\u00bb were sold to the Russian buyer \u2013 limited liability company \u00abRussian Titanium\u00bb (Russkii titan).<\/p>\n<p>In Russia, there are several companies with such a name. Group DF did not specify the company and delivered different information to Russian and Ukrainian mass media. It ignored our information request.<\/p>\n<p>The Center for Journalist Investigations (CJI) <a href=\"https:\/\/investigator.org.ua\/ua\/investigations\/239039\/\" target=\"_blank\" rel=\"noopener\">studied<\/a> all Russian companies with the name \u00abRussian Titanium\u00bb. None of them seemed to be capable to buy Crimean factory \u2013 the largest manufacturer of titanium dioxide in Eastern Europe. Fortunately, co-owner of \u00abRussian Titanium\u00bb in Petrozavodsk whom CJI contacted by phone advised us to look into \u00abRussian Titanium\u00bb in Barnaul.<\/p>\n<p>Barnaul company seemed to be typical shell company. Its statutory capital equaled 10 thousand Rubles; it had the status of micro-enterprise and did not have any employees; no website and no office phone. Photo: google.com.ua\/maps<\/em><\/p><\/div>\n<p>LLC \u00abRussian Titanium\u00bb changed its founder on November 30, 2021, i.e. one month before Group DF announced the sale of its Crimean assets. Igor Bulatov, 29 years old entrepreneur, was registered as the new founder. Before he built cottages in Barnaul suburbs.<\/p>\n<p>Thus, this company did not have any relations to titanium production and was not capable to buy Crimean assets of \u00abUkrainian Chemical Products\u00bb (its assets were evaluated as worth of 6 billion UAH in 2020). Therefore, the sale of the titanium factory had clear signs of the fake deal whereas the buyer looked like shell company.<\/p>\n<p>The Center for Journalist Investigations also found out that the Antimonopoly Committee of Ukraine <a href=\"https:\/\/investigator.org.ua\/ua\/news-2\/239025\/\" target=\"_blank\" rel=\"noopener\">did not issue the permit<\/a> for the sale of Crimean assets (permit for the concentration)<\/p>\n<p>Agia Zagrebelska, the founder of Antitrust League, believes that \u00abUkrainian Chemical Products\u00bb did not ask the Antimonopoly Committee for permit because the company did not want to disclose the real buyer of the titanium factory.\u00a0<\/p>\n<p>\u00abIt is not known who acquired the assets. We see shell companies with symbolic statutory capital. Anybody can hide behind them, including Mr. Firtash. If they would address the Committee, they would have to disclose the ownership structure of buyer. Then, the Committee would have the opportunity to investigate who was the real buyer hiding behind this company\u00bb, as Agia Zagrebelska <a href=\"https:\/\/investigator.org.ua\/ua\/publication\/239062\/\" target=\"_blank\" rel=\"noopener\">commented<\/a> this situation.<\/p>\n<p>The Antimonopoly Committee of Ukraine launched investigation of the sale of Crimean assets of \u00abUkrainian Chemical Products\u00bb without the Committee\u2019s permit for concentration on January 20, 2022, i.e. after one week of the publication of CJI\u2019s investigation results. So far, information about the Committee\u2019s decision has not been published.<\/p>\n<p><img decoding=\"async\" loading=\"lazy\" class=\"alignnone wp-image-243551\" src=\"https:\/\/investigator.org.ua\/wp-content\/uploads\/2022\/06\/Screenshot_465.png\" alt=\"\" width=\"720\" height=\"597\" srcset=\"https:\/\/investigator.org.ua\/wp-content\/uploads\/2022\/06\/Screenshot_465.png 751w, https:\/\/investigator.org.ua\/wp-content\/uploads\/2022\/06\/Screenshot_465-300x249.png 300w\" sizes=\"(max-width: 720px) 100vw, 720px\" \/><\/p>\n<p>It is worth highlighting key decisions the government and its bodies should have taken in order to prevent Firtash\u2019s withdrawal of titanium production from the Ukrainian jurisdiction.<\/p>\n<blockquote>\n<p><strong>First of all, <\/strong>the National Security and Defense Council of Ukraine imposed individual sanctions on Mr. Firtash, as it has been mentioned above. All his assets must have been frozen. However, the government did not block them.<\/p>\n<p><strong>Second, <\/strong>all Crimean assets of \u00abUkrainian Chemical Products\u00bb were on loan as collateral. It means Mr. Firtash could not \u00absell\u00bb them, only to pay for debts.<\/p>\n<p>It should be also noted that the company of Mr. Firtash has been debtor of the Pension Fund of Ukraine. The court decision to recover 20 million UAH from his company is still valid. However, Ukrainian authorities \u00abforgot\u00bb about this decision.<\/p>\n<p><strong>Third, <\/strong>Group DF and \u00abRussian Titanium\u00bb did not receive the permit of the Antimonopoly Committee of Ukraine for concentration, and the Committee initiated investigation of this case after our publications. More to that, CJI and the Antitrust League asked the Antimonopoly Committee to conduct investigation of the implementation of antitrust legislation in this case. We did not receive yet neither the decision, nor response from the Antimonopoly Committee. We will keep reminding the Committee about the situation.<\/p>\n<\/blockquote>\n<p>Meanwhile, the ownership structure of Barnaul \u00abRussian Titanium\u00bb was changed on February 11, 2022. Igor Bulatov is no longer the founder of \u00abRussian Titanium\u00bb; he is the director of this shell company operating as the intermediary to remove Crimean titanium factory from the Ukrainian jurisdiction.<\/p>\n<p>New founders are Russian limited liability companies \u00abTitanium Investments\u00bb and \u00abTitanium Technologies\u00bb (Titanovye tekhnologii). They are linked to Mr. Firtash. In their turn, they are founded by Cypriote companies Letan Investments Limited and Pegma Ventures Limited. Though the buyer of Firtash\u2019s factory in Armiansk (registered as the branch of \u00abTitanium Investments\u00bb) is \u00abRussian Titanium\u00bb as it was described above. Below we explain the strange logic of these events.<\/p>\n<p><strong>\u00abRussian Hydrogen\u00bb will unite all<\/strong><\/p>\n<p>Crimean occupation authorities organized massive \u00ablanding\u00bb of Russian journalists and public officials on titanium factory in Armiansk in the middle of May 2022. There was almost solemn reason \u2013 the factory resumed its work after 4 months downtime caused by the absence of ilmenite ore and full scale Russian invasion into Ukraine (Armiansk is close to the front line). For the first time, real Russian managers and owners of the factory were announced.<\/p>\n<p>\u00abOwners changed. New owners are Russian owners. The managing company is \u00abRussian Hydrogen\u00bb (Russkii vodorod), as Eduard Kurmachov, the director of Armiansk titanium factory, told journalists.<\/p>\n<p>We know about joint stock company \u00abRussian Hydrogen\u00bb from our previous investigation. It has been the holder of loan collaterals of Crimean assets of \u00abUkrainian Chemical Products\u00bb (the indebtedness reached 94 million USD at the moment of sale). Thus, hypothetically, \u00abRussian Hydrogen\u00bb could get the factory and other Firtash\u2019s assets in northern Crimea as the recovery of loan.<\/p>\n<p>It is remarkable that \u00abRussian Hydrogen\u00bb was registered less than one year ago, in February 2021. Its shareholders are not disclosed. Its only founder is Stanislav Tikhonov. Though he is the member of several Russian companies and supervisory boards, he does not have large capital. On the other hand, \u00abRussian Hydrogen\u00bb is quite active in creating chemical holding by getting companies with large market shares under its management.<\/p>\n<p>Recently \u00abRussian Hydrogen\u00bb received under its management Firtash\u2019s titanium and soda plants in Crimea as well as LLC \u00abTitanium Trading Company\u00bb and \u00abTitanactiv\u00bb related to the titanium production.<\/p>\n<p>However, \u00abRussian Hydrogen\u00bb is not reported as the key investor into Armiansk titanium factory. Russian joint stock company \u00abBashkir Soda Company\u00bb promised to invest 20 billion Rubles into its modernization. Then, how this Bashkir company is linked with the Crimean titanium factory?<\/p>\n<p>In accordance with Russian open databases, one person links together \u00abRussian Hydrogen\u00bb, the managing company of Firtash\u2019s Crimean chemical assets, and \u00abBashkir Soda\u00bb. Not a long time ago the controlling stake of \u00abBashkir Soda\u00bb was owned by private entities. It was returned to the state ownership by \u2026 Mr. Putin! He accused private owners that they re-invest a little into the production.<\/p>\n<p>\u00abWhere is the money?\u00bb He asked at the governmental meeting. As an outcome, the Russian General Persecutor\u2019s Office launched inspection of privatized company, then, the Russian court adopted necessary decision and shares were returned into governmental ownership. They were divided between the federal center and Republic of Bashkiria. It seems it is not their final destination point.<\/p>\n<p>In April 2022, Eduard Davidov as the general director of \u00abBashkir Soda Company\u00bb wrote the letter to Mr. Putin and asked him to transfer 57% of company\u2019s shares into trusted management of \u00abRussian Hydrogen\u00bb where he is also the general director. These shares are not just \u00abpapers\u00bb. It is about <strong>transfer of 18 large chemical plants in seven subjects of the Russian Federation under the management of private company \u00abRussian Hydrogen\u00bb!<\/strong><\/p>\n<p>It is understandable that such \u00abpublic letters\u00bb are submitted in Russia only if they are approved beforehand, behind Kremlin curtain. Then, who is the final beneficiary of the future giant chemical holding, which swallowed Crimean chemical plants of Mr. Firtash?<\/p>\n<p>Russian media \u00abKommersant\u00bb states that <strong>Rotenberg brothers<\/strong>, best friends of Mr. Putin, are <a href=\"https:\/\/www.kommersant.ru\/doc\/5347311\" target=\"_blank\" rel=\"noopener\">hiding behind Kremlin curtains<\/a>.<\/p>\n<p>In accordance with its sources, Stanislav Tikhonov is the nominal owner of the business. The company is developed by Rotenberg brothers who have an experience in chemical industry. Though, the official representative of Arkadii Rotenberg did not confirm the connection with \u00abRussian Hydrogen\u00bb as noted by \u00abKommersant\u00bb.<\/p>\n<p>It might be that there are no de jure connections between Rotenberg brothers and the sale of Crimean assets of \u00abUkrainian Chemical Products\u00bb of Ukrainian oligarch Dmytro Firtash.
